Predik Data is calculated according to the proprietary methods of Predik or certain third-parties with which Predik has a relationship with and through the application of methods, creativity and standards of judgment used and developed through the expenditure of considerable work, time and money, and may be modified from time to time based on this same or other criteria, and all rights, title, and interest therein are expressly reserved by Predik.

Without limiting the generality of the foregoing, you may not engage in data mining, scraping, crawling, or any other form of data gathering of Predik Data without Predik's express prior written consent in each case and subject to such conditions as Predik may in its sole and absolute discretion require. You understand and agree that Predik or third parties with which Predik has a relationship may assert their rights, and seek all applicable remedies, including, but not limited to, equitable relief, with respect to any violation of these Predik Data Terms of Use. Authorized use of Predik Data does not create any proprietary rights for you in Predik Data.
Predik uses reasonable efforts to ensure that Predik Data is accurate, current, and/or available. Predik does not warrant Predik Data or the results obtained from its use, whether in terms of correctness, accuracy, timeliness, completeness, sequence, reliability, or otherwise. Predik makes no other express or implied warranties (including without limitation warranties of satisfactory quality or fitness for a particular purpose) in connection with Predik Data. In consideration of being given access to and the right to use Predik Data, you agree that neither Predik nor any third parties with which Predik has a relationship will be liable in any way for the accuracy or quality of Predik Data, or delays or failures to provide Predik Data. You also agree that Predik and such third parties are not responsible for any errors or omissions in Predik Data regardless of how caused, or for any decision made or action taken by you in reliance upon Predik Data. In no event will Predik, third parties with which Predik has a relationship, or any of their direct or indirect suppliers of information be subject to any damages or liability for any errors, omissions or delays in providing Predik Data or any other data, or for any actions taken in reliance thereon.
IN NO EVENT WILL PREDIK BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES OF ANY KIND, OR ANY DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, THOSE RESULTING FROM LOSS OF USE, DATA OR PROFITS, WHETHER OR NOT PREDIK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND ON ANY THEORY OF LIABILITY, ARISING OUT OF OR IN CONNECTION WITH THE USE OF PREDIK DATA.
You agree to indemnify, defend and hold harmless Predik, and all officers, directors, owners, agents, information providers, affiliates, and suppliers (collectively the "Indemnified Parties") from and against all losses, expenses, damages and costs, including reasonable attorneys' fees and expenses, resulting from your use of Predik Data in violation of these Predik Data Terms of Use, including any violation by you of any rights of any third party.
Predik may terminate your access to and use of Predik Data at any time and with or without cause. Predik disclaims any and all liability resulting from termination or suspension. Upon termination, you must cease accessing and using Predik Data and delete all Predik Data in your possession. The terms of these Predik Data Terms of Use that by their nature survive termination will remain in full force and effect following termination.
Predik reserves the right to amend these Predik Data Terms of Use at any time without notice. Accessing the Predik Data after any modification of these Predik Data Terms of Use implies your acceptance of the modified terms. In the event any provision of these Predik Data Terms of Use should be held to be invalid, illegal or unenforceable for any reason, the validity, legality and enforceability of the remaining provisions shall not in any way be affected. You agree that these Predik Data Terms of Use and any other agreements referenced herein between you and Predik supersede all prior agreements and understandings, oral or written, between you and Predik.
These Predik Data Terms of Use shall be governed by and construed in accordance with the laws of the State of New York without regard to the conflicts of laws provisions thereof. You agree that any action at law or in equity arising out of or relating to these Predik Data Terms of Use shall be filed only in the state or federal courts located in New York, New York and you hereby consent and submit to the personal jurisdiction of such courts for the purposes of litigating any such action.
